1. Introduction

Welcome to Propeller, an application provided by Exponent4 Inc ("Exponent4," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of Propeller ("App," "Services") and any related services or features offered by Exponent4. By accessing or using Propeller, you agree to these Terms. If you do not agree with any part of these Terms, please do not use the App.

2. Description of Services

Propeller is an application integrated with Shopify that utilizes product information to create and publish social media posts on platforms chosen by the user. The App uses artificial intelligence (AI) technology to generate content for these posts. The App also collects information from these posts to display analytics to the user.

3. Use of the App

You may use the App solely for the purpose of creating and publishing AI-generated social media posts related to your e-commerce products, and viewing associated analytics, in accordance with these Terms. You must be at least 18 years old or have the consent of a parent or guardian to use the App.

4. Account Registration and Security

To use Propeller, you need to register and create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4.1 To use our Propeller Shopify app, you need to install our app as described in the following section.

Log in to Your Shopify Admin: Access your Shopify store’s admin dashboard using your login credentials.

Visit the Shopify App Store: Click on "Apps" in the Shopify admin menu, then select "Shopify App Store," or go directly to Shopify App Store.

Find and Select the App: Use the search bar or browse to locate our app, then click on it to view details.

Add the App: Click the "Add app" button to initiate the installation process.

Grant Permissions: Review and grant the necessary permissions the app requires to function. This will be shown in a prompt on your Shopify admin.

Install the App: Click "Install app" to complete the installation. You may be redirected to complete additional setup or configuration as needed.

5. User Content and License

You retain ownership of any content you post or upload through Propeller ("User Content"). By submitting User Content, you grant Exponent4 a non-exclusive, royalty-free, worldwide, sub-licensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display such content in connection with the Services and for promotional purposes.

You are solely responsible for your User Content and must ensure it complies with all applicable laws and regulations. Exponent4 reserves the right to remove any User Content that it deems, in its sole discretion, to violate these Terms or be otherwise objectionable.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Using Propeller for any illegal or unauthorized purpose.

Posting or transmitting content that is harmful, defamatory, obscene, or otherwise objectionable.

Infringing upon the intellectual property rights of others.

Attempting to interfere with or disrupt the App or its servers.

Using automated systems, including bots or scrapers, to access or collect data from the App.

Impersonating another person or entity.

Violating any applicable laws, regulations, or third-party rights.

7. Third-Party Services and Integrations

Propeller integrates with third-party services, including Shopify and various social media platforms. Your use of these third-party services is subject to their respective terms and policies. Exponent4 is not responsible for the content, privacy practices, or actions of these third parties.

8. AI-Generated Content

8.1. You understand and acknowledge that the content generated by Propeller is created using AI technology. While we strive to produce high-quality and appropriate content, the nature of AI means that the generated content may sometimes be unpredictable or inaccurate.

8.2. You are responsible for reviewing and approving all AI-generated content before publishing it to your social media accounts. Exponent4 is not liable for any consequences resulting from the use of AI-generated content, including but not limited to reputational damage, loss of business, or legal issues.

8.3. You retain the right to modify, edit, or reject any AI-generated content before publishing. Once you approve and publish the content, it becomes your User Content and is subject to the terms outlined in Section 5 of this agreement.

8.4. Exponent4 does not claim ownership of the AI-generated content. However, we reserve the right to use anonymized data from the content generation process to improve our AI algorithms and services.

9. Data Collection and Privacy

We collect and process personal information as described in our Privacy Policy. By using Propeller, you consent to such collection and processing of your data.

10. Intellectual Property Rights

Exponent4 and its licensors retain all right, title, and interest in and to the App, including all related intellectual property rights. You may not copy, modify, create derivative works, reverse engineer, decompile, or attempt to extract the source code of the App.

11. Limitation of Liability

To the maximum extent permitted by law, Exponent4 shall not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of Propeller. Our total liability to you for any claims arising from these Terms shall not exceed the amount paid by you to use the App in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Exponent4, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of Propeller, your User Content, or any violation of these Terms.

13. Termination

Exponent4 reserves the right to suspend or terminate your access to Propeller at any time, with or without cause, and with or without notice. Upon termination, you must cease all use of the App and delete your account.

14. Modifications to the Terms

Exponent4 may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website or through the App. Your continued use of Propeller after such changes constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms constitute the entire agreement between you and Exponent4 regarding the use of Propeller and supersede any prior agreements between you and Exponent4 relating to the App.
